1. Acceptance of these Terms

These Terms & Conditions ("Terms") form a binding legal agreement between you ("you", the "customer") and Xenius ("Xenius", "we", "us", "our") governing your access to and use of the website xeniusfragrances.com (the "Site") and any fragrance, product, or service you purchase from us. By creating an account, browsing the Site, or placing an order, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Site.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Site or place an order. By using the Site you represent and warrant that you meet these requirements and that all information you provide is accurate, complete, and current.

3. Your Account

You are responsible for safeguarding your login credentials and for any activity that occurs under your account. You agree to notify us immediately of any unauthorised use. We may suspend or terminate accounts that are used in violation of these Terms or that we reasonably suspect of fraud or abuse.

4. Privacy & Data Protection

Your privacy is fundamental to Xenius. We do not sell, share, syndicate, or otherwise disclose your personal data to any external or third party for marketing, analytics, or any other commercial purpose. All information you provide — your account details, fragrance history, and delivery information — is stored securely and used exclusively to operate your account and fulfil your orders. Full details, including the rights you have over your data, are set out in our Privacy Policy, which forms an integral part of these Terms.

5. The Nature of a Bespoke Xenius Perfume

Every Xenius perfume is composed individually, on demand, to the unique specification you design through the Site. No two compositions are warehoused, mass-produced, or sold to any other customer. By placing an order you acknowledge that you are commissioning a personal, made-to-order product crafted specifically for you on the basis of the formula you have authorised.

6. "Start with a fragrance you know" — Important Disclosure

The "Start with a fragrance you know" feature is offered as a creative starting point only. When you reference a commercial fragrance, Xenius does not produce a copy, clone, dupe, replica, imitation, or reformulation of that fragrance. The feature is used exclusively to interpret your stylistic preferences and to propose a blueprint of olfactive families, notes, and accords from which you then design your own original composition.

The resulting Xenius fragrance is a new, independent creation and will neither smell identical to, nor be marketed as equivalent to, the referenced product. All third-party brand names mentioned during the design process remain the property of their respective owners and are used solely for descriptive, comparative reference. By using this feature you confirm that you understand and accept this.

7. Quality of Ingredients & Subjectivity of Scent

Xenius sources oils, absolutes, and ingredients of the highest available quality and composes every order with the care expected of haute parfumerie. Accordingly, we warrant the quality, purity, and craftsmanship of the perfume we deliver.

However, the final character of any fragrance depends overwhelmingly on the specific blend you have designed. Scent perception is deeply personal and subjective: it is influenced by your skin chemistry, body temperature, environment, expectations, and memory. While we make every reasonable effort to describe the anticipated character of your composition, we cannot and do not guarantee that the finished perfume will match any specific subjective impression you may have envisioned. By placing an order you acknowledge and accept the inherently subjective nature of fragrance.

8. Orders, Pricing & Payment

All prices are displayed in the currency shown on the Site and, unless stated otherwise, include applicable taxes but exclude shipping. We reserve the right to correct pricing errors and to refuse, limit, or cancel any order at our discretion, including where we suspect fraud or where a product cannot be produced. Payment must be received in full before production begins. Your order constitutes an offer to purchase, which we accept by confirming the order in writing (typically by email).

9. Production & Delivery

Because each order is composed individually, production lead times apply in addition to shipping times. Estimated timeframes are communicated at checkout and are best-efforts estimates, not guarantees. Risk of loss passes to you upon delivery to the address you provided. It is your responsibility to ensure the delivery address and contact details are accurate; we are not liable for non-delivery resulting from incorrect information.

10. No Returns, No Refunds, No Exchanges on Bespoke Orders

Bespoke Xenius perfumes are non-returnable, non-refundable, and non-exchangeable. Because every bottle is composed specifically for you, based on the formula you designed and approved, it cannot be resold, repurposed, or returned to inventory. By confirming your order you expressly waive any statutory right of withdrawal, cooling-off period, or refund that would otherwise apply to standard, non-personalised consumer goods, to the maximum extent permitted by applicable law.

The sole exception is a confirmed manufacturing defect or a verified delivery error attributable to Xenius. In such cases you must notify us within seven (7) days of delivery, providing photographic evidence and the unused product. Where the claim is validated, our sole liability is, at our option, to replace the product or to issue a refund of the purchase price of the affected item.

11. Safety & Use

Perfume is for external use only on intact skin or on clothing. Discontinue use if irritation occurs and consult a medical professional. Keep away from eyes, flames, heat sources, and out of reach of children. We are not liable for allergic reactions or sensitivities; if you are prone to fragrance allergies, please patch-test first.

12. Intellectual Property

All Site content, branding, copy, imagery, code, and the underlying composition system are owned by Xenius or its licensors and are protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Site for its intended purpose. You may not copy, scrape, mirror, reverse engineer, or commercially exploit any part of the Site without our prior written consent. The formulas you compose are stored in your account for your personal, non-commercial use; you may not resell or redistribute Xenius products.

13. Acceptable Use

You agree not to:

• Use the Site for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorised access to any account, system, or data.
• Introduce viruses, malware, or any code intended to disrupt the Site.
• Use automated means (bots, scrapers, crawlers) to access the Site at scale.
• Submit content that is unlawful, defamatory, infringing, or otherwise objectionable.
• Resell, redistribute, or commercially exploit any Xenius product without consent.

14. Disclaimers

The Site and all products are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Xenius disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, or secure against every conceivable attack.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Xenius, its founders, employees, and suppliers shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profit, loss of data, loss of goodwill, or emotional distress, arising out of or in connection with your use of the Site or any product purchased through it. Our aggregate liability arising out of or in connection with any order shall not exceed the amount you actually paid for that order. Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Indemnity

You agree to indemnify and hold harmless Xenius from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

17. Force Majeure

We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, pandemic, supply-chain disruption, courier failure, or failure of utilities or telecommunications.

18. Modifications

We may amend these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by notifying you by email. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. The competent courts of Tel Aviv–Jaffa shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that we reserve the right to bring proceedings against you in any jurisdiction in which you reside or do business.

20. Severability & Entire Agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xenius and supersede any prior understanding.
